Legal

Please read these Terms of Service ("Terms") carefully before using Cerebro.

Cerebro is operated by Cerebro Technologies, Inc. ("Cerebro," "we," "us," or "our"), a Delaware corporation. These Terms govern your use of the Cerebro platform, including the website (https://www.cerebro.one), WhatsApp-based services, web applications, mobile applications, and any related services, integrations, or connected experiences (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use Cerebro.

1. Description of Service

Cerebro provides AI-powered infrastructure that enables anyone โ€” businesses, creators, freelancers, and individuals โ€” to manage their operations through conversational AI on WhatsApp and Instagram.

Owners may optionally connect their Instagram professional account so that Cerebro can receive incoming Direct Messages from their customers and reply on the owner's behalf using the Instagram Graph API. Connecting Instagram requires the owner to authorize Cerebro through Meta's official OAuth flow. The owner may revoke this connection at any time from Instagram settings (Apps and websites โ†’ Active) or by asking Cerebro to disconnect.

For Owners: You message Cerebro on WhatsApp to set up and manage your services, products, appointments, reservations, events, and more. Cerebro acts as your AI operator โ€” handling customer conversations, bookings, payments, and scheduling automatically. You receive a personal link (cerebro.one/yourname) that your customers can use to interact with your Cerebro.

For Customers: You interact with a business's Cerebro through WhatsApp (or the web at cerebro.one) to discover, book, and purchase services and products through natural conversation. You pay the business's full price online plus a small flat Cerebro fee (typically $1 to $4, localized to your currency) that supports the platform. There are no hidden charges โ€” the exact amount is shown before you confirm.

Cerebro acts as a technology platform. We are not the seller of goods or services โ€” owners are independently responsible for fulfilling what they offer, for pricing, for taxes, and for their own compliance obligations.

2. Eligibility

You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use Cerebro. By using the Service, you represent that you meet this requirement.

3. Account Registration

Owner Accounts

  • To use Cerebro as an owner, you message Cerebro on WhatsApp and set up your profile through conversation. No app download or dashboard is required.
  • You represent that you have the authority to act on behalf of the business or entity you register.
  • You agree to provide accurate information about what you offer and keep it current.
  • For digital products or online fulfillment, you may need to connect a Stripe account to receive direct payments.

Customer Accounts

  • Customer accounts are created when you interact with a business's Cerebro through WhatsApp or the web (cerebro.one).
  • You agree to provide accurate information (name, email) when making purchases.

You are responsible for maintaining the security of your account and for all activities that occur under your account.

4. Owner Terms

If you use Cerebro as an owner:

  • What You Offer: You are solely responsible for the accuracy of your listings, including descriptions, prices, availability, and fulfillment.
  • Customer Obligations: You must honor bookings and orders made through Cerebro and provide goods and services as described.
  • Compliance and Taxes: You are the seller of record for every transaction. You must comply with all applicable laws, including consumer protection, licensing requirements, and any tax obligations that apply to you โ€” including VAT, sales tax, and income tax. Cerebro does not collect, calculate, file, or remit tax on your behalf. If you wish to automate tax calculation at checkout, you may enable Stripe Tax in your own connected Stripe account.
  • Cancellations and Refunds: You set your own cancellation and refund policies through Cerebro. You are responsible for handling disputes with customers.
  • Content: You retain ownership of your content but grant Cerebro a worldwide, non-exclusive, royalty-free license to display and distribute it through our platform for the purpose of providing the Service.
  • Pricing to You: Cerebro is free for owners. You pay no subscription, no setup fee, and no percentage commission. You receive 100% of the price you set for your goods or services on every transaction.
  • Payments: When your customers pay online, payments are processed through Stripe Connect and settled directly to the Stripe account you connect. Cerebro charges the customer a small flat fee per transaction (see Section 6); that fee is collected by Stripe on Cerebro's behalf and never comes out of what you earn.

5. Customer Terms

If you use Cerebro as a customer:

  • Purchases: When you book or buy through Cerebro, you enter into a direct transaction with the business. Cerebro facilitates the transaction but is not the seller of record.
  • Pricing: You pay the business's full listed price plus a small flat Cerebro fee โ€” typically between $1 and $4 per transaction, localized to your currency and varying by transaction type. The exact fee is shown before you confirm the purchase. There are no hidden charges.
  • Taxes: Any VAT, sales tax, or other tax that applies to your purchase is the responsibility of the business as the seller of record. If the business has enabled tax calculation in their Stripe account, applicable tax will be shown on the checkout page.
  • Payments: All online payments are processed securely through Stripe. You agree to pay for all purchases made through your account.
  • Cancellations: Cancellation and refund policies are set by each business. The Cerebro platform fee is refunded alongside any full refund issued by the business. Check each business's policy before purchasing.
  • Disputes: Any disputes about goods or services should be directed to the business first. Cerebro may assist but is not responsible for resolving disputes between you and the business.

6. Payments and Fees

All online payments are processed through Stripe Connect in accordance with Stripe's terms of service. Each owner connects their own Stripe account and receives payments directly into that account.

Owners: Cerebro is free. You pay no subscription, no setup fee, and no percentage commission on transactions. You receive 100% of the price you set on every transaction.

Customers: You pay the business's full listed price plus a small flat Cerebro fee per transaction. The fee is typically between $1 and $4 (localized to your currency, not currency-converted) and varies by transaction type โ€” for example, a quick order is billed at a lower tier than a priority reservation. The exact fee is always shown before you confirm. There are no hidden charges, no monthly fees, and no account fees for customers.

How fees flow: At checkout, the customer pays a single amount. Stripe settles the business's portion directly to the business's connected Stripe account and remits the Cerebro fee to us as an application fee. Stripe handles all payment-processing costs out of the Cerebro fee โ€” the business's earnings are never reduced by processing fees.

Taxes: The business is the seller of record and is responsible for collecting, filing, and remitting any applicable tax (VAT, sales tax, etc.) on the goods or services they sell. Cerebro is responsible only for its own corporate and indirect-tax obligations related to the platform fee.

Refunds: Refund policies are set by each business. When a full refund is issued, the Cerebro platform fee is also refunded. For partial refunds, the platform fee is refunded proportionally.

7. AI-Powered Features

Cerebro uses artificial intelligence (powered by Anthropic Claude) to enable conversations and transactions. You acknowledge that:

  • AI responses are generated automatically and may occasionally contain errors or inaccuracies.
  • You should verify important details (prices, times, availability) before confirming transactions.
  • Cerebro is not liable for errors in AI-generated information, including but not limited to pricing, availability, scheduling, or descriptions.
  • Conversation data is processed by our AI provider (Anthropic) subject to their usage policies and data processing agreements.
  • Voice messages sent via WhatsApp are transcribed using AI speech recognition to enable voice-based interactions.

8. Prohibited Uses

You agree not to:

  • Use Cerebro for any unlawful purpose or to violate any laws;
  • Post false, misleading, or fraudulent listings or information;
  • Sell prohibited items including illegal goods, weapons, drugs, or adult content;
  • Harass, abuse, or harm other users or businesses;
  • Attempt to circumvent payments, manipulate the platform, or access systems without authorization;
  • Infringe on intellectual property rights of others;
  • Use automated systems to access the Service without permission.

We may suspend or terminate your account immediately for violations of these Terms.

9. Intellectual Property

Cerebro, including its logo, design, and technology, is owned by Cerebro Technologies, Inc. You may not copy, modify, distribute, or create derivative works without our written consent. You retain ownership of content you create but grant us a license to use it in connection with the Service as described in Section 4.

10. Privacy and Data

Your use of Cerebro is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using Cerebro, you consent to our data practices as described in the Privacy Policy.

You may request a copy of your data or deletion of your account at any time directly within your WhatsApp conversation with Cerebro โ€” just ask. You may also contact legal@cerebro.one. We will process requests in accordance with applicable data protection laws, including the EU General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA) where applicable.

11. Third-Party Services

The Service relies on third-party providers including but not limited to Stripe (payments), Anthropic (AI), Twilio (WhatsApp messaging), and cloud infrastructure providers. Cerebro is not responsible for outages, errors, or service interruptions caused by third-party providers. We will make commercially reasonable efforts to restore service promptly.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the Service will be uninterrupted, error-free, or secure. We do not endorse or guarantee any business, product, service, or transaction facilitated through Cerebro.

Owners are independent entities responsible for their own goods and services. Cerebro is not responsible for the quality, safety, legality, or fulfillment of anything offered through the platform.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CEREBRO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO DAMAGES ARISING FROM AI-GENERATED ERRORS, THIRD-PARTY SERVICE FAILURES, OR DISPUTES BETWEEN OWNERS AND CUSTOMERS.

Our total liability for any claims arising from the Service shall not exceed the fees you paid to Cerebro in the 12 months preceding the claim, or $100, whichever is greater.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by applicable law.

14. Indemnification

You agree to indemnify and hold harmless Cerebro, its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

15. Dispute Resolution

Any disputes arising from these Terms or your use of Cerebro shall be resolved through binding arbitration administered by the American Arbitration Association, except that either party may seek injunctive relief in court.

You agree to resolve disputes individually and waive any right to participate in class actions.

For users in the European Union or United Kingdom: This arbitration clause does not affect your statutory rights under EU or UK consumer protection laws. You may bring proceedings in the courts of your country of residence. Nothing in these Terms overrides mandatory consumer protections available to you under local law.

16. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. For users outside the United States, local mandatory consumer protection laws may also apply to the extent they cannot be waived.

17. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms with a new effective date and, where practicable, by notifying you through the Service. Continued use of the Service after changes constitutes acceptance of the revised Terms.

18. Termination

You may stop using Cerebro at any time. You may request deletion of your account by contacting legal@cerebro.one. We may suspend or terminate your access for violations of these Terms or for any reason with reasonable notice. Upon termination, your right to use the Service ceases, but provisions that by their nature should survive (including Sections 9, 12, 13, 14, 15, and 16) will remain in effect.

19. Force Majeure

Cerebro shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, internet or telecommunications failures, third-party service outages, power failures, or cyberattacks.

20. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be modified, it shall be severed. The remaining provisions shall continue in full force and effect.

21. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Cerebro regarding the Service and supersede all prior agreements, representations, and understandings.
